GTC (General Terms & Conditions)
Last updated: January 2026 These Terms & Conditions apply to all services provided by mp-film, operated by Markus Plawszewski, unless expressly agreed otherwise in writing. 1. Scope of application These Terms & Conditions apply to all contractual relationships between mp-film and its clients, including project-based services, retainer agreements, and consulting services. Deviating terms of the client shall not apply unless explicitly accepted in writing by mp-film. 2. Scope of services mp-film provides video production, filmmaking, storytelling, creative consulting, and related services. The specific scope of services, deliverables, timelines, and remuneration shall be defined in the respective written offer, proposal, or agreement. 3. Conclusion of contract A contract shall be deemed concluded when: a written offer is accepted by the client, or mp-film confirms an order in writing, or services commence at the client’s request. Electronic communication (e.g. email) is sufficient for contract conclusion. 4. Prices and payment terms All prices are stated in Euro unless otherwise specified. Unless otherwise agreed in writing: invoices are payable within 14 days from the invoice date, payment shall be made without deduction. mp-film reserves the right to: request advance payments or milestone payments, suspend services in the event of late payment, charge statutory interest and reasonable recovery costs in accordance with applicable law. 5. Retainer agreements For retainer-based services: the agreed monthly fee is payable in advance, the scope of services is limited to the agreed monthly allocation. Unused services do not roll over into subsequent billing periods unless explicitly agreed in writing. Retainer agreements may be terminated with [[OPTIONAL: e.g. 30 days]] written notice to the end of a billing period, unless otherwise agreed.
6. Client obligations The client shall: provide all required information, materials, access, and approvals in a timely manner, ensure that all supplied materials are free from third-party rights, cooperate reasonably throughout the project. mp-film shall not be responsible for delays or defects caused by missing, delayed, or incorrect client cooperation.
7. Revisions and change requests Unless otherwise agreed, the agreed fee includes: two revision rounds. Additional revisions, change requests, or scope extensions shall be charged separately based on time and effort. 8. Delivery, acceptance, and delays Delivery dates are estimates unless expressly agreed as binding. The delivered work shall be deemed accepted unless the client raises substantiated objections in writing within 7 days of delivery. Delays caused by force majeure or circumstances beyond mp-film’s control shall extend delivery deadlines accordingly. 9. Usage rights and intellectual property All copyrights and intellectual property rights remain with mp-film until full payment has been received. Upon full payment, the client receives the usage rights explicitly agreed in the contract or offer. Unless otherwise agreed in writing: usage rights are non-exclusive, usage is limited to the agreed purpose, channels, territory, and duration. mp-film retains the right to use the work for self-promotion (portfolio, website, social media, showreels), unless explicitly excluded in writing. 10. Third-party services and materials Where necessary, mp-film may use third-party services or materials (e.g. music libraries, stock footage, hosting platforms). Any licensing costs or third-party fees shall be borne by the client unless otherwise agreed. 11. Liability mp-film shall be liable only for damages caused by intent or gross negligence. Liability for slight negligence is excluded to the maximum extent permitted by law, except in cases of: injury to life, body, or health, mandatory statutory liability. Liability for indirect damages, loss of profit, or consequential damages is excluded. 12. Force majeure mp-film shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, power failures, network disruptions, governmental measures, or illness. 13. Termination Either party may terminate an ongoing agreement for good cause. In the event of termination: services rendered up to the termination date shall be paid, advance payments for unused services may be refunded proportionally, unless otherwise agreed. 14. Confidentiality Both parties agree to treat all confidential information disclosed during the cooperation as confidential and not to disclose it to third parties unless required by law. 15. Data protection Personal data is processed in accordance with applicable data protection laws and the Privacy Policy published on the website of mp-film. 16. Applicable law and jurisdiction These Terms & Conditions are governed by the laws of the Republic of Ireland. The place of jurisdiction shall be Ireland, unless mandatory statutory provisions provide otherwise. 17. Final provisions Should individual provisions of these Terms & Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.
